in the news: smph (19 mar 2013)

Imminent
Whether or not he’ll stay in the family conglomerate or grow his own empire is a hot guessing game topic these days. But Henry Sy Jr., aka “Big Boy,” laughs off persistent rumors of a $1-billion buyout plan by his siblings.
“No such offer,” said the eldest son and namesake of the country’s richest man. Now, if the $1 billion refers to what sister company SM Prime Holdings will have to pay to acquire Big Boy’s pet project SM Development Corp., he says it’s too cheap.
“Just look at its market capitalization,” he said. (That was around P75 billion, or $1.8 billion, as of last Friday).
Looking dapper last Friday in the company of fellow billionaires Lawrence Ho and James Packer of Macau’s Melco group during the signing of the cooperation deal for Belle Grande entertainment complex, Big Boy has voiced support for the upcoming consolidation of SM property units. This union, he said, could happen in 2013.
“It will be a bigger and better company,” Big Boy said. “What we always do is bigger and better. It’s a perfect fit, one with recurring income and the other one with development income. In good times, you have developmental income, in bad times, rental income will be there so shareholders will be happy with this kind of company.”
So what happens to Big Boy once SMDC is folded into its bigger sister SM Prime? A source from SM said he “will have a role and position, and that’s part of the study on folding in. He’s working actively and united with the family on the planned consolidation.”
Meanwhile, we gather that key management changes may soon happen (if it hasn’t already) in SMDC ahead of what is becoming an inevitable union with SM Prime.—Doris C. Dumlao

my stok picks for the coming weeks: on the rumoured smdc-smph merger (16 mar 2013)

in the news ...
SM Group sees merger of mall, property units this year
by Kathleen A. Martin, ABS-CBNnews.com

MANILA, Philippines -- SM Group's planned merger of its mall and property units is expected to be completed this year, a senior executive of SM Investments Corp. said Friday.
"[It will happen] this year, before the end of this year," SMIC Chief Financial Officer Jose Sio told reporters.
SM Group in February confirmed the possible merger of SM Prime Holdings Inc., SM Development Corp. and SM Land Commercial Properties Group.
But Sio said it is too early to say which will be the surviving entity among the three.
"It's a complicated thing that we have to study the most efficient way [of consolidating the units]," Sio said.
SM Prime Holdings develops and manages the group's shopping centers, while SMDC is involved in residential property development. SM Land, meanwhile, manages commercial and leisure properties.

so .. which will be the surviving entity?

im betting of course that it would be a listed company .. so its either smdc or smph ... and since sm land owns majority of smdc .. im betting that smph will buy sm land by issuing smph shares to smic (since smic owns majority of sm land) .. in the process .. smph takes over sm land and smdc's assets in one go ... leaving smdc a shell company ..  smph will then possibly sell the shell company to belle so that it can use the smdc shell to bakdoor list the belle casino ...

which to buy then? smdc or smph? my bet .. buy sm ;)

p.d. i sold already my smdc and sm recently (will buy bak sm later .. just needed the cash to buy some other stok .. and besides .. pumanget chart ni sm lately) .. but i still have some smph  8)

question and answer: What's your insight on smdc? (21 feb 2013)

i just received these pms this morning from a member of the financemanila stock market forum ..

xxx:

1. What's your insight on smdc?

my quick reply:

i have no insight .. im no insider [ .....deleted .....]

we know trading in smdc is speculative right now since the recent price action is based on rumours and talks of mergers of sy-property stocks .. thus .. unless u know what is really happening within the sy family .. it is better to adopt an opportunistic stance in trading smdc ... which means ... if u already have smdc ... pocket profits as soon as realised ... otherwise .. one may be left stuck at the top as everybody has already exited their positions .. but if ur in a gambling mood .. well .. u can wait until the end and just hold it ..

if u havent entered smdc yet .. then unless ur really sure of what ur doing .. dont touch smdc ... better just watch it from the sidelines and cheer the rest who think they can beat the pros ..

if i have time before the open today ill post something sa blog ko about smdc ... ;)

good luck

2. Thanks xxx

Just more on the chart perspective

Cheers

my reply:

ill try to post something sa blog .. but just a quick reply ...

twice smdc tried to break the 8.85 res .. but 2x it failed ... with the 8.96-9 peso range as a strong resistance .. which indicates that people are exiting or selling it down and tak[ing] profits within the day (u must realise it has gone up 50% already the past 2 weeks so pros are already selling to new cummers) .. so right now those who have smdc may be quite edgy already .. waiting to just bailout of smdc with a small profit or even ready to cut loss if an adverse price action takes place ...

macd is still going up .. rsi is still going up .. but the sts has changed direction last monday already ... both rsi and sts @ overbought levels already .. which is enough reason for those with profits to sell (remember ... the macd .. rsi and sts are trailing indicators .. they just show where the stock came from and where it is right now ... it does not tell u what it will do tomoro)

i always say .. better err on the side of caution ...

great trades! good times!
